When a contractor changes his legal name, he must inform the department so that an incomplete contract can be amended to reflect the new legal name. An endorsement is used to implement the contract amendment. Finally, it is worth thinking about dispute resolution. An endorsement cannot be considered a construction contract. This may mean that an adjur cannot identify any disputes about him or her. This can be overcome by drawing up and scrutinizing this point before a dispute arises. Complementary agreements are far from being a quick solution to certain business problems or needs. They must be carefully studied, thought out and elaborated if they are not to cause more problems than they solve. In a way, nothing is worse than a dispute over a settlement agreement or an endorsement, because the parties have, by their nature, tried to agree and conclude things and not spend money and administration time on litigation. Beware of exchanging letters or an agreement on the back of a package that cannot settle or dissolve anything. First, the parties would be well advised to consider whether they would like the original agreement to be maintained and simply supplemented or amended by the new agreement. If this is the case, the difficult question of which document should prevail over others in the event of a conflict must be taken into account.
At this stage, it is also important that any document purporting to amend the previous agreement adopts, as far as possible, the same terminology that is consistent with the previous agreement and that is clear as to the intent of the additional agreement. The third issue raised is how each endorsement is executed. One way to avoid the above problem – whether there is a consideration or value for the agreement in an endorsement – is for that endorsement to be executed as an act by the parties. Submit the attribution requirements received by the contractor for CSE approval. CST is: Make sure the new contractor provides standard project information and forms (pay merchant, etc.). Do not change other terms of the contract or suspend time during the transfer process.
